Welcome to Intufind. These Terms of Service ("Terms") govern your use of our AI-powered search and chat platform. By using Intufind, you agree to these Terms.

1. Definitions

  • "Service" means the Intufind platform, including our website, APIs, plugins, widgets, and related services.
  • "Customer" or "you" means the person or entity that creates an account and subscribes to the Service.
  • "Customer Content" means the products, posts, pages, and other content you choose to index with the Service.
  • "End Users" means visitors to your website who interact with Intufind features.
  • "We", "us", or "Intufind" means the company providing the Service.

2. Account Terms

2.1 Account Creation

To use the Service, you must:

  • Be at least 18 years old
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Accept responsibility for all activity under your account

2.2 Account Security

You are responsible for safeguarding your password and API keys. You must notify us immediately of any unauthorized access to your account. We are not liable for any loss resulting from unauthorized use of your credentials.

3. Service Description

Intufind provides:

  • AI-powered semantic search for your website content
  • AI chat assistant that can answer questions about your content
  • Content indexing and synchronization
  • Analytics and insights
  • Optional live agent handoff capabilities

The Service uses artificial intelligence to process queries and generate responses. While we strive for accuracy, AI-generated content may occasionally be incorrect or incomplete. You acknowledge that the Service is provided "as is" and that AI responses should not be relied upon for critical decisions.

4. Subscription and Payment

4.1 Plans and Pricing

The Service is offered on a subscription basis. Current plans and pricing are available on our Pricing page. We reserve the right to change pricing with 30 days notice.

4.2 Billing

  • Subscriptions are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • You authorize us to charge your payment method on file
  • Failed payments may result in service suspension

4.3 Free Trial

We may offer a free trial period. At the end of the trial, your subscription will begin automatically unless you cancel. No credit card is required for the trial period.

4.4 Cancellation

You may cancel your subscription at any time through your account dashboard. Upon cancellation:

  • Access continues until the end of your current billing period
  • No refunds are provided for partial periods
  • Your indexed content will be deleted within 30 days

5. Customer Content

5.1 Ownership

You retain all rights to your Customer Content. Intufind does not claim ownership of any content you provide to the Service.

5.2 License Grant

By using the Service, you grant Intufind a limited, non-exclusive license to:

  • Store and process your Customer Content to provide the Service
  • Create embeddings and indexes for search functionality
  • Use your content to generate AI responses for End Users
  • Cache content for performance optimization

This license is solely for operating and improving the Service. We will not sell your content or use it for purposes unrelated to the Service.

5.3 Content Restrictions

You may not submit content that:

  • Violates any applicable law or regulation
  • Infringes on intellectual property rights of others
  • Contains malware, viruses, or harmful code
  • Is defamatory, obscene, or promotes violence
  • Violates the privacy of others

6. Acceptable Use

6.1 Permitted Use

You may use the Service for lawful business purposes in accordance with these Terms and your subscription plan.

6.2 Prohibited Activities

You may not:

  • Resell, sublicense, or redistribute the Service without authorization
  • Attempt to reverse engineer, decompile, or extract source code
  • Use the Service to build a competing product
  • Circumvent usage limits or security measures
  • Use automated systems to abuse the Service
  • Interfere with other customers' use of the Service
  • Use the Service to generate spam or misleading content

6.3 API Usage

API access is subject to rate limits defined by your subscription plan. Excessive usage that degrades service quality may result in throttling or suspension.

7. Intellectual Property

7.1 Intufind Property

The Service, including its software, design, features, and documentation, is owned by Intufind and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand features.

7.2 Feedback

If you provide suggestions or feedback about the Service, we may use it without restriction or compensation to you.

8. Third-Party Services

The Service integrates with third-party platforms (WordPress, Shopify, Slack, etc.). Your use of these integrations is subject to the respective third party's terms. We are not responsible for third-party services.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may occasionally suspend the Service for maintenance, updates, or security reasons. We will provide reasonable notice when possible.

10. Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

11. Termination

11.1 By You

You may terminate your account at any time by canceling your subscription and deleting your account.

11.2 By Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activity
  • Fail to pay fees when due
  • Use the Service in a way that harms other customers

We will provide notice before termination when reasonably possible, except in cases of serious violations.

11.3 Effect of Termination

Upon termination:

  • Your right to use the Service ends immediately
  • We will delete your Customer Content within 30 days
  • Sections that should survive (liability, governing law) will remain in effect

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not warrant that:

  • The Service will meet your specific requirements
  • The Service will be uninterrupted, timely, or error-free
  • AI-generated responses will be accurate or complete
  • Any errors will be corrected

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTUFIND SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

Our total liability for any claims under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless Intufind from any claims, damages, or expenses arising from:

  • Your use of the Service
  • Your Customer Content
  • Your violation of these Terms
  • Your violation of any third-party rights

15. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in San Francisco County, California.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Your continued use after changes take effect constitutes acceptance of the new Terms.

17. General

  • Entire Agreement — These Terms constitute the entire agreement between you and Intufind.
  • Severability — If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver — Failure to enforce any right does not waive that right.
  • Assignment — You may not assign these Terms. We may assign them in connection with a merger or acquisition.
